Acceptance of Terms
Welcome to ProjEvo ("Company," "we," "our," or "us"). By accessing or using the ProjEvo platform, website, applications, and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.
ProjEvo is an all-in-one client operations platform for agencies, freelancers and solopreneurs, providing project management, billing and contracts, support and live chat, team communication, domain and hosting management, WordPress site management, and related capabilities.
Description of Service
ProjEvo provides a comprehensive business-management platform that may include:
- Project, task, deliverable and time management
- Client relationship management and a white-label client portal
- Invoicing, subscriptions, contracts, proposals and a client wallet (via Stripe and PayPal)
- Support ticketing, knowledge base, and live chat with AI
- Team communication (the Communicator) and two-way conversational messaging (powered by Twilio)
- Meeting scheduling with Google Meet video links (via the Google Calendar API)
- Domain registration and DNS management
- Hosting management for your own connected Plesk or cPanel servers
- WordPress site management through a branded connector
- LaunchPad staging environments, Live Feedback, Figma, AutoFramer and other design tools
- AI features powered by ProjEvo credits or your own provider keys
ProjEvo is project-management and client-operations software. ProjEvo is not a web host; hosting features operate on servers you connect and control. Available features depend on your plan and any add-ons.
SMS and Messaging Services
ProjEvo provides two-way messaging functionality that allows businesses to communicate directly with their clients in the context of an existing business relationship. Messaging features are designed to function as a business phone and inbox replacement, enabling real-time conversational communication initiated by either party.
ProjEvo does not provide bulk messaging, marketing campaigns, automated message broadcasts, or unsolicited outbound messaging services. ProjEvo does not operate messaging programs, does not send messages to end users on behalf of customers, and does not manage consent or communication preferences for customers.
3.1 Permitted Use
Messaging through ProjEvo is limited to direct, one-to-one conversational communication; client-initiated or business-responded conversations; ongoing discussions related to active projects, services or support; and human-initiated or human-responded messages within an existing business relationship.
3.2 Prohibited Use
You may not use ProjEvo messaging to send marketing campaigns or promotional blasts; message individuals with whom you have no existing business relationship; use purchased, scraped or third-party contact lists; send automated or scheduled outbound messages without direct user interaction; conduct bulk messaging; or send illegal, harmful or inappropriate content.
3.3 Customer Responsibilities
Each customer is solely responsible for ensuring an established business relationship with recipients; complying with all applicable communication laws, such as the Telephone Consumer Protection Act (TCPA); managing communication preferences with their own clients; the content of all messages; and complying with Twilio's Acceptable Use and Messaging Policies.
3.4 Platform Role and Carrier Fees
ProjEvo provides messaging functionality as a technical platform only and does not determine message recipients, timing or content. Standard message and data rates may apply depending on the recipient's carrier and plan. For details, see our SMS & Messaging Policy.
Platform Email
ProjEvo provides each organization with a platform email capability, powered by our email subprocessor (Postmark), for sending email from the platform to your clients and team. Platform Email is provided for transactional and relationship messages only — for example, account, billing, support, project and system notifications sent within an existing business relationship.
Platform Email may not be used for marketing, promotional, bulk or unsolicited email, including newsletters, drip or marketing campaigns, cold outreach, or messages to recipients with whom you have no established business relationship. You are responsible for the content of all email you send through the platform and for complying with applicable law (including the CAN-SPAM Act) and with the requirements of our email subprocessor.
Misuse of Platform Email — including sending marketing or bulk mail, or generating excessive spam complaints, bounces or abuse reports — may result in immediate suspension of email sending and may result in suspension or termination of your account. See our Acceptable Use Policy.
Subscription and Payment
4.1 Subscription Plans and Add-ons
ProjEvo offers subscription plans and optional add-ons with different features, usage limits and pricing. Current plans, add-ons and pricing are shown on our website and during signup.
4.2 Billing
By subscribing to a paid plan you agree to pay all associated fees. Fees are billed in advance on a monthly or annual basis depending on your billing cycle. All payments are non-refundable except where expressly stated in these Terms or required by law. See our Refund Policy.
4.3 Automatic Renewal
Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method on file for the renewal amount.
4.4 Price Changes
We may modify pricing at any time. Changes take effect at the start of your next billing cycle following notice. Continued use after a price change constitutes acceptance of the new pricing. Founders Club discounts, where applicable, are honored according to their terms.
4.5 Cancellation
You may cancel at any time in your account settings or by contacting support. Cancellation takes effect at the end of your current billing period, and you retain access until that time.
User Accounts
To access certain features you must create an account. You agree to: provide accurate, current and complete information; maintain and promptly update your account information; keep your password secure and confidential; accept responsibility for all activity under your account; and notify us immediately of any unauthorized use.
You are responsible for your team members and the clients you invite, and for the configuration of roles and permissions within your account.
Acceptable Use
You agree not to use the Service to violate any law or third-party right; send spam, unsolicited or deceptive communications; distribute malware or harmful code; gain unauthorized access to any system; interfere with or disrupt the Service; harvest information without consent; or engage in activity that could damage our reputation or that of our infrastructure providers. Full details are in our Acceptable Use Policy, which is incorporated into these Terms.
Customer Data and Content
You retain ownership of the data and content you and your clients submit to the Service ("Customer Data"). You grant us a limited license to host, process and transmit Customer Data solely to provide and improve the Service. You are responsible for the accuracy and legality of Customer Data and for having the rights necessary to use it with the Service.
Where we process personal data on your behalf, our Data Processing Addendum applies.
Intellectual Property
The Service and its original content, features and functionality are owned by ProjEvo and protected by copyright, trademark, patent, trade-secret and other laws. You may not copy, modify, distribute, sell or lease any part of the Service without our prior written consent. The "Powered by ProjEvo" notice may be removed only where your plan permits white-labeling.
Third-Party Services
The Service integrates with and relies on third-party services, including but not limited to Twilio (messaging), Stripe and PayPal (payments), Cloudflare (network, storage and security), Postmark (email), Google (Meet and Calendar), AI providers (such as Anthropic and OpenAI), and your own connected servers, registrars and WordPress installations. We are not responsible for the content, policies or practices of third-party services, and your use of them is subject to their respective terms.
Where you connect a Google Account for the Meetings feature, ProjEvo's access to and use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. See our Privacy Policy for details on how we handle Google user data.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROJEVO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.
Indemnification
You agree to indemnify, defend and hold harmless ProjEvo, its officers, directors, employees, agents and affiliates from and against any claims, liabilities, damages, losses and expenses, including reasonable attorneys' fees, arising out of or connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.
Modifications to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Effective" date above. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
Termination
We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including a breach of these Terms. Upon termination, your right to use the Service ceases. You may export Customer Data prior to termination; after a reasonable period, data may be deleted in line with our retention practices.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict-of-law provisions.
